CMT Flexibles Ltd Terms and Conditions of Sale

These Terms and Conditions apply to all sales of goods and services by CMT Flexibles Ltd. By placing an order the customer accepts these Terms and Conditions.

1. Definitions

Company means CMT Flexibles Ltd
Customer means the business purchasing goods or services
Goods means products assemblies or services supplied by the Company
Contract means an agreement for the sale of Goods between the Company and the Customer

2. Orders

All orders are subject to acceptance by the Company.
A Contract is formed only when the Company confirms the order in writing or when Goods are dispatched.
The Company may refuse or cancel an order at its discretion.

3. Prices

Prices quoted are exclusive of VAT and delivery charges unless stated otherwise.
The Company may adjust prices to reflect changes in costs including materials labour or transport.

4. Payment

Payment is due in accordance with the agreed credit terms.
Where no credit account exists payment must be made before dispatch.
The Company may charge interest on overdue payments at the rate permitted by UK law.
The Company may suspend further deliveries until all outstanding amounts are paid.

5. Delivery

Delivery dates are estimates only.
The Company is not liable for delays caused by events outside its control.
Risk in the Goods passes to the Customer when the Goods are delivered or collected.
Title to the Goods remains with the Company until payment in full has been received.

6. Inspection and Acceptance

The Customer must inspect the Goods upon delivery.
Any issues or discrepancies must be reported within three working days.
If no notification is received the Goods are deemed accepted.

7. Specifications and Suitability

The Customer is responsible for ensuring that Goods ordered are suitable for the intended purpose.
The Company may provide guidance but final selection remains the responsibility of the Customer.

8. Custom and Bespoke Goods

Custom hose assemblies and bespoke products are made to order and cannot be cancelled or returned unless defective or not in accordance with the agreed specification.

9. Returns

Returns are subject to the Company Returns Policy.
No Goods may be returned without prior written agreement and a Return Authorisation.
Returned Goods must be in unused condition and free from contamination.
A restocking charge may apply to standard Goods.

10. Warranty

The Company warrants that Goods will conform to the stated specification at the time of delivery.
If the Company agrees that a defect exists the remedy will be repair replacement credit or refund at the Company discretion.
The Company is not liable for defects arising from misuse incorrect installation improper storage or normal wear.

11. Limitation of Liability

The Company is not liable for loss of profit loss of production operational delays or any indirect or consequential loss.
The maximum liability of the Company for any claim shall not exceed the value of the Goods supplied under the relevant Contract.
Nothing in these Terms and Conditions excludes liability that cannot be excluded under UK law.

12. Force Majeure

The Company is not liable for failure to perform where the cause is beyond the Company control including natural events transport disruption supply chain issues or industrial action.

13. Tooling Testing and Certification

Where applicable the Company may provide test certificates inspection documents or traceability information.
The Customer must specify certification requirements at the time of order.

14. Intellectual Property

All drawings documents and technical information supplied by the Company remain the property of the Company.
They may not be copied or shared without written permission.

15. Termination

The Company may terminate a Contract if the Customer fails to pay amounts due becomes insolvent or breaches these Terms and Conditions.

16. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.
Any dispute shall be resolved in the courts of England and Wales.

17. General

If any provision of these Terms and Conditions is found to be invalid the remaining provisions remain in full force.
No variation of these Terms and Conditions is effective unless agreed in writing by the Company.
